Schedule Of Trade Exclusivity - Smiffys II

Smiffys II reserves the right to amend this Schedule at any time, and such amendments shall take effect 30 days after the updated Schedule has been placed on this website.

 

Glossary/Definition of Terminology

The following words shall be deemed to have the following meanings:

a. Contract Type:

i. Agency: whereby the Partner represents a defined range of the Principal’s Products within the specified Trade Channel(s), for the purposes of negotiation of sales on behalf of the Principal. Under Agency, the Principal will process, deliver & invoice the Customer directly, unless specific agreement exists to invoice the Customer via the Partner. The Agency Partner agrees to represent the entire defined product range through an appropriate medium (Principal’s catalogue, Partner’s translated catalogue or website, etc). Exclusion of agreed products from defined range will be considered a restriction of sale, & thereby a breach of contract.

ii. Distributor: whereby the Partner represents a defined range of the Principal’s Products within the specified Trade Channel(s), for the purposes of negotiation of sales on behalf of the Principal. Under Distribution, the Partner will process, deliver & invoice the Customer directly for goods warehoused in-Territory by the Partner. The Distribution Partner agrees to represent the entire defined product range through an appropriate medium (Principal’s catalogue, Partner’s translated catalogue or website, etc). Exclusion of agreed products from defined range will be considered a restriction of sale, & thereby a breach of contract.

b. Trade Channels:

i. Party & Costume Retail: defined as stores (permanent or temporary), web-stores, wholesalers or vendors whose range predominantly consists of products suitable for general party celebration or dress-up, & whose target consumer market in predominantly Family oriented.

ii. Adult Retail: defined as stores (permanent or temporary), web-stores, wholesalers or vendors whose range predominantly consists of products suitable for adult dress-up, & ‘intimate occasions’, whose target consumer market in predominantly adult (18yrs+) oriented.

iii. Smiffys II E-Fulfilment: defined as House Accounts, with whom the Principal has a direct trading agreement to provide a drop-shipment service exclusively for the Principal’s Products iv. Multiple Grocery/Supermarket: defined as a multiple retail store group (permanent or temporary) with more than 30 outlets, whose collective sales revenue exceeds £10million (or equivalent)

v. Leisure & Theme Park: defined as entertainment venues (permanent or temporary), & associated retail store or web-stores, whose range predominantly consists of products suitable for family Dress-up & Novelties, & whose target consumer market in predominantly Family & Children oriented.
